TL Insider Contest Rules and Regulations

RULES & REGULATIONS:

These Rules & Regulations (the “Rules”) govern any contest (The “Contest”) running on www.members.torontolife.com or through TL Insider newsletter (the “Site”). No purchase is necessary to enter the Contest. The act of entering the Contest constitutes acceptance of these Rules and the decision(s) of the Contest judge (the “Judge”).

CONTEST:

The date The Contest commences and the date that the contest closes can be found on the individual contest page or individual contest email.

ELIGIBILITY:

Contests are open to residents of Ontario, who have an active TL Insider membership, who are 19 years of age or over as at the time of entry, excluding employees of St. Joseph Communications, Media Group. Any companies affiliated with St. Joseph Communications or the Prize Sponsor, representatives, dealers, and agents of St. Joseph Communications or the Prize Sponsor, contest suppliers, and the Judge, (collectively the “Contest Parties”) and those with whom any of them are domiciled whether related or not. The Contest is subject to all applicable federal, provincial, and local laws and regulations and is voidable where prohibited by law.

HOW TO ENTER:

To enter:  (1) visit the Contest landing page through the dedicated TL Insider contest email (2) Follow the on-screen instructions to (i) allow the Contest application (the “Application”); and (ii) fully complete and submit the official Contest entry form, including providing your First Name, Last Name, your E-mail address associated with your TL Insider membership account (the “Registration” or “Entry”).  By submitting a Registration, each entrant will receive one (1) Entry into the Grand Prize draw. Limit one (1) Registration per person.

Multiple participants are not permitted to share the same email. Any attempt by any participant to register more than once or to enter more than the number of stated Entries by using multiple/different emails, identities, registrations and logins, or any other method will void that participant’s Registration/Entries and that participant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Prize Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected Registrations/Entries. Such Registrations/Entries will be disqualified. In the event of a dispute as to any Registration/Entry, the authorized account holder of the email address used to register will be deemed to be the registrant or entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder. Proof of Entry will not be deemed to be proof of receipt.

PRIZE:

Contest prize and value can be found on the individual contest page or TL Insider contest email.

DRAW:

The day following the Contest close date, TL Insider will randomly select the winner or winners from the entries received during the Contest Period, whom will be eligible to win the prize. The selected entrant or entrants will be contacted following the end of the Contest Period. The draw will be held in Toronto, Ontario, and will be made from all eligible entries received during the Contest Period.

The odds of winning will depend on the number of eligible entries received during the Contest Period.

AWARDING OF PRIZE:

A random draw will be made by TL Insider to identify one (1) potential winner for the Grand Prize, selected from among all eligible Entries received during the Contest Period who otherwise complies with these Rules. If the individual selected does not meet the Rules, then subsequent draw(s) may be held in order to select another entrant who is eligible and otherwise complies with these Rules, in order to distribute the Grand Prize. The odds of winning a Grand Prize depend on the number of eligible entries received during the Contest Period.

A POTENTIAL PRIZE WINNER IS SUBJECT TO VERIFICATION BY PRIZE SPONSOR AND ADMINISTRATOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. A potential winner will be contacted using the email address provided with the Entry and must respond within 48 hours. Failure to respond to this call or email within 48 hours of notification or return of e-mail notification as undeliverable will result in disqualification.

To claim his/her prize, each potential winner must complete the information required, successfully answer, unaided, a mathematical skill-testing question, and if required, agree to a declaration of compliance with the Rules and a release (including a publicity release). Once the potential winner has completed these steps, a confirmation will be emailed as verification.

If a potential winner does not comply with these Rules, cannot be contacted, fails to respond with the specified time, fails to correctly answer the skill-testing question, fails to provide the required information or documentation or if the prize, prize notification or verification is returned as undeliverable, the potential winner will be disqualified and he/she forfeits the prize. A potential winner is not a winner of any prize, even if the website should so indicate, unless and until the potential winner has been confirmed a winner in accordance with these Rules.  Prize Sponsor will not accept screenshots or other evidence of winning in lieu of its validation process.

Prize must be accepted as awarded. Prize may not be refunded or transferred and is not convertible to cash. Sponsor reserves the right, in their sole discretion, to substitute all or a portion of a prize with a prize of equal or greater value for any reason. Unclaimed prizes will not be reissued. By accepting a prize, winner authorizes the Prize Sponsor to broadcast, publish and disseminate their name, city and province of residence, photographs, likenesses, comments and voices, in connection with any promotion or publicity at no further compensation to the winner. In the event a potential winner is disqualified or not eligible, he/she shall not be awarded the prize and that prize may not be awarded, and Prize Sponsor shall be fully and completely released and discharged from any liability or responsibility in this regard.

ENTRY CONDITIONS AND RELEASE:

By entering, each entrant agrees to: (a) comply with and be bound by these Rules and the decisions of the Prize Sponsor which are binding and final in all matters relating to this Contest; (b) release and hold harmless the Prize Sponsor, and their respective parents, subsidiaries, affiliated and related companies, the prize suppliers, TL Insider (ST. JOSEPH MEDIA), the Contest judges and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest, and all of their respective past and present officers, directors, shareholders, employees, agents, representatives, successors and assigns (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, arising from or in connection with the Contest or an entrant’s acceptance, use or misuse of a prize; and (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable legal fees) arising out of or relating to an entrant’s participation in the Contest and/or entrant’s acceptance, use or misuse of prize.

LIMITATIONS OF LIABILITY:

The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (b) technical failures of any kind, including but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the registration or entry process or the Contest; (d) technical or human error which may occur in the administration of the Contest or the processing of Entries; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. If for any reason an entrant’s Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another Entry in the Contest. No more than the stated number of prizes will be awarded.

DISPUTES:

Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved exclusively by the Ontario Courts; (c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event legal fees; and (d) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the entrant and Prize Sponsor and Administrator in connection with the Contest, shall (unless otherwise prohibited by law) be governed by, and construed in accordance with, the laws of the Province of Ontario, without giving effect to any choice of law or conflict of law rules (whether of the Province of Ontario or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of Ontario.
